1 Introduction & Binding Agreement

These Terms & Conditions ("Terms") constitute a legally binding contract governing all interior design consultancy, turnkey execution, material supply, and allied services ("Services") provided by Stylayer Interior ("Company", "We", "Us", "Our").

Acceptance by Conduct

The client ("Client", "You") irrevocably accepts these Terms by any of the following actions:

  • Signing a quotation or work order
  • Making any payment (partial or full)
  • Permitting the commencement of any work on site

These Terms supersede all prior discussions, representations, or agreements.

2 Scope & Variations

2.1 Defined Scope

The specific Services to be provided are detailed exclusively in the final, Company-issued, and Client-approved Quotation and/or Work Order. Descriptions in proposals or discussions are preliminary.

2.2 Out of Scope Items

Any task, item, material, or service not explicitly listed in the approved Quotation/Work Order is excluded and will be treated as a Variation Order, payable as per Clause 4.

2.3 Conceptual Nature of Designs

All drawings, 3D renders, sketches, and visualizations are conceptual design aids only. They are not exact technical drawings, and the final executed work may differ due to:

  • Site conditions and constraints
  • Material availability
  • Technical and manufacturing feasibility
  • Practical execution requirements

3 Intellectual Property Rights

Designs Remain Our Property

All designs, drawings, documents, and concepts created by Stylayer Interior are our exclusive intellectual property.

3.1 Ownership

All designs, drawings, documents, 3D renders, concepts, and layouts created by the Company are and shall remain its sole and exclusive intellectual property (IP).

3.2 Limited License

The Client is granted a limited, non-exclusive, non-transferable license to use the designs solely for the execution of the specific project with the Company. The Client shall not:

  • Copy, share, or modify the designs
  • Permit any third party to use, reproduce, or execute the designs
  • Use the designs for any other project or purpose

...without the Company's prior written consent.

3.3 Project Cancellation

In the event of project cancellation or termination for any reason:

  • All IP remains with the Company
  • The Client must return all copies of designs and documents
  • The Client must cease all use of the designs

4 Client Approvals & Change Management

4.1 Approval Obligation

The Client is obligated to provide timely, written approvals (via email or signed document) for all designs, material samples, layouts, and specifications. Delays in approval directly impact the project timeline.

Finality of Approval

Once the Client provides written approval for any element (design, material, colour, etc.), it is considered FINAL. No subsequent claims, complaints, or requests for alteration related to the aesthetics, choice, or layout of the approved element will be entertained.

4.3 Variation Orders

Any change request initiated by the Client after an approval or after work has commenced constitutes a formal Variation Order. This will:

Incur additional design, material, and labour costs as quoted by the Company.

Timeline Extension

Necessarily extend the overall project timeline.

Advance Payment

Require 100% advance payment for the variation before work commences.

5 Payment Terms (Strict & Non-Negotiable)

Advance Payment Policy

All payments made to the Company are advance payments made towards reservation and commitment of resources.

5.1 Payment Schedule

Payments are due strictly as per the milestone schedule in the Quotation/Work Order. No work will proceed to the next stage without clearing the due milestone.

5.2 Non-Refundable Nature of Payments

Once the project has commenced, all payments shall be non-refundable in case of:

  • Project cancellation initiated by the Client
  • Change in scope initiated by the Client
  • Client dissatisfaction or change of mind
  • Delays caused by Client actions or inactions
5.3 Limited Refund Consideration

Refund Eligibility: Refunds, if any, shall be considered only in cases where the Company is unable to commence or deliver the services as per the agreed scope, and such refunds shall be processed at the Company's discretion in accordance with applicable Indian laws.

5.4 Consequences of Late Payment

Delay in any payment will result in:

  • Immediate work stoppage
  • Delay in subsequent milestones and project completion
  • Any cost escalation for materials or labour occurring due to the delay will be borne entirely by the Client
  • Suspension of all services until payments are current
5.5 Right of Retention

The Company reserves the right to withhold all designs, drawings, goods, site access, keys, and final handover until all outstanding dues, including those for Variations and delays, are settled in full.

5.6 Taxes

All quoted amounts are exclusive of GST and other applicable taxes, which will be charged additionally.

6 Project Schedule & Delays

Timelines Are Estimates Only

Any project timeline provided is an estimate only and not a guaranteed completion date.

6.1 Non-Attributable Delays

The Company shall not be liable for any delay caused by:

  • Client delays in approvals or payments
  • Unavailability of materials
  • Labour shortages
  • Force majeure events
  • Changes in project scope
  • Restrictions imposed by building management/authorities
  • Site access issues
  • Any other factors beyond our control
6.2 No Liquidated Damages

The Company is not liable for any penalties, compensation, or damages claims arising from project delays.

7 Warranty & Defects Liability

7.1 Limited Warranty

The Company provides a limited warranty on its workmanship for a period of 6 (six) months from the date of final handover, subject to written confirmation.

7.2 Warranty Exclusions

This warranty does not cover:

  • Normal wear and tear
  • Damage due to misuse, negligence, accident, or improper maintenance by the Client
  • Issues arising from water seepage, pest infestation, electrical fluctuations, or other environmental factors
  • Defects in products, appliances, or materials supplied by third-party brands (which are covered by their respective manufacturer warranties)
  • Any alteration or repair attempted by a third party without the Company's authorization

8 Limitation of Liability

8.1 Cap on Liability

The Company's total aggregate liability to the Client for any claim whatsoever (whether in contract, tort, or otherwise) shall be strictly limited to the value of the specific portion of the Services giving rise to the claim, or the total fee paid, whichever is less.

8.2 Exclusion of Consequential Damages

Under no circumstances shall the Company be liable for any:

  • Indirect or consequential losses
  • Incidental or special damages
  • Loss of profits, revenue, or business opportunity
  • Punitive damages
  • Claims related to mental stress or inconvenience
  • Loss of use or rental costs

9 Site Conditions & Client's Premises

The Company is not responsible for any pre-existing or latent defects in the Client's property including structural issues, water seepage, dampness, termite/pest infestation, uneven surfaces, or faulty existing wiring/plumbing. Any work required to diagnose or rectify such pre-existing conditions will be quoted separately.

10 Materials & Products

Material samples shown are indicative only. Natural variations in shade, grain, texture, and pattern between samples and final delivered materials are inherent characteristics and not defects. The Company reserves the right to substitute discontinued materials with equivalent or superior alternatives.

11 Client-Supplied Items

The Company accepts no responsibility for the quality, suitability, timely delivery, or defects of any items (fixtures, appliances, materials) supplied directly by the Client. Any resulting damage, delay, or need for rework will be borne by the Client.

12 Site Access & Safety

The Client must provide unimpeded access to the site during working hours for the duration of the project. The Client is responsible for securing all necessary permissions from relevant authorities, resident welfare associations, or building management prior to commencement. The Client's belongings left on-site during work are at the Client's sole risk.

13 Cancellation & Termination

If the Client cancels the project, all amounts paid shall be forfeited. Additionally, the Client shall pay for all work completed and 100% cost of materials already ordered or fabricated. The Company may terminate for Client breach and retain all payments while pursuing recovery of any balance.

14 Photography & Marketing Rights

The Company retains the irrevocable right to photograph, video record, and use images of the completed project for portfolio, website, social media, advertising, and promotional use without obligation to pay royalty or seek further consent.

15 Force Majeure

The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, pandemics, strikes, government restrictions, supply chain disruptions, or other unforeseeable events.

16 Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in the Company's registered operational location in India.

Acceptance of Terms

By making any payment or allowing work to commence, the Client confirms that:

They have read and understood

all Terms & Conditions in their entirety

They voluntarily agree

to be bound by all provisions herein

They acknowledge

these Terms supersede all prior agreements
