1. Scope of Services & Client Responsibilities

1.1 Service Inclusions: Stylayer Interiors provides interior design, space planning, material procurement, and execution services. The specific scope of work, deliverables, and timelines will be detailed in the finalized project quotation or agreement.

1.2 Client Obligations:

• Provide accurate property dimensions, layouts, and structural details.

• Ensure the site is structurally sound, free from severe dampness, water seepage, or pest infestations (e.g., termites) prior to the commencement of execution.

• Obtain any necessary permissions or Non-Objection Certificates (NOCs) from the Resident Welfare Association (RWA) or building management before work begins.

• Provide uninterrupted site access, electricity, and water supply during working hours for our execution team.

  1.3 Modifications: Any design or scope changes requested after final approval will be subject to a revised quotation and may extend the project timeline.

2. Commercials, Payments & Taxes

2.1 Payment Milestones:

• Design & Consultation Fee: Paid upfront. This is strictly non-refundable once concept work commences.

• Execution Fees: Billed in tranches (e.g., 40% advance, 40% upon material delivery at the site, 20% prior to final handover), as explicitly stated in your project contract.

  2.2 Taxes: All estimated prices are exclusive of Goods and Services Tax (GST). Applicable GST (currently at 18% for interior services) will be added to the final invoice as per Indian tax regulations.

  2.3 Delayed Payments: Failure to clear milestone invoices within 7 days of raising the invoice will pause project execution. Stylayer Interiors reserves the right to charge a late payment interest of 1.5% per month on the outstanding amount.

3. Cancellations & Refunds

3.1 Pre-Execution: If a project is cancelled by the Client after the advance payment but before manufacturing or procurement has begun, Stylayer Interiors will deduct the design fee and administrative costs, refunding the balance.

3.2 Mid-Execution: If the project is cancelled after material procurement or manufacturing has started, the Client is liable to pay for all work completed and materials ordered up to the date of cancellation. Custom-made items and procured materials are strictly non-refundable.

4. Project Execution & Handover

4.1 Timelines & Force Majeure: Estimated timelines are provided in good faith. Stylayer Interiors shall not be liable for delays caused by factors beyond our reasonable control, including but not limited to natural disasters, strikes, pandemic-related lockdowns, vendor supply chain disruptions, or delays in Client approvals (Force Majeure).

4.2 Handover: Upon completion, the Client will conduct a final walkthrough with our team and sign a “Handover Certificate.” Any snags or defects must be documented during this walkthrough or within 7 days of the handover date.

5. Warranty & Maintenance

5.1 Workmanship Warranty: We provide a 6-month warranty covering installation and labor defects.

5.2 Material Warranty: Materials (e.g., plywood, laminates, hardware, appliances) carry warranties directly from their respective original equipment manufacturers (OEMs).

5.3 Exclusions: Warranties are immediately void in cases of:

• Normal wear and tear.

• Damage due to mishandling, negligence, or misuse by the Client or third parties.

• Damage caused by pre-existing structural issues, water seepage, dampness, or pest/termite attacks.

• Modifications made by third-party contractors post-handover.

6. Intellectual Property & Marketing

6.1 Design Ownership: Stylayer Interiors retains the intellectual property rights to all 2D/3D designs, renders, and concepts until all final payments are cleared.

6.2 Marketing Rights: We reserve the right to photograph or video record the completed project for our portfolio, website, and social media. Client privacy will be respected, and no sensitive personal information or exact addresses will be disclosed.

7. Limitation of Liability

To the maximum extent permitted by law, Stylayer Interiors’ total liability for any claim arising out of this agreement—whether in contract, tort, or otherwise—shall not exceed the total project fees paid by the Client to the Company. We shall not be liable for any indirect, consequential, or incidental damages.

8. Privacy & Data Protection

We collect and process your personal data (contact details, site address) strictly for project execution and communication, in compliance with the Information Technology Act, 2000, and applicable Indian data protection laws. Your data will not be sold to third parties.

9. Termination

Stylayer Interiors reserves the right to suspend or terminate services if:

• The Client fails to make payments beyond 15 days of the due date.

• The Client engages in abusive, threatening, or hostile behavior toward our staff or contractors.

• The Client breaches any material term of this agreement.

10. Governing Law & Dispute Resolution

10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.

10.2 Dispute Resolution: Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably. If unresolved within 30 days, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be [New Delhi / Noida], and the proceedings shall be conducted in English.
